TeraPlast has reached an agreement to acquire, through a business transfer, the MASA polyethylene pipes business of Aliaxis in Spain. The production facility is located in Okondo, in Northern Spain, 20 km from Bilbao. The Spanish plastic pipes market is one of the most dynamic in Western Europe.
The Romanian Royal Family was also invited to the takeover ceremony of the factory in the Basque Country.
The transaction price will be determined and paid at closing, based on a usual formula starting from a base value of EUR 6.7 million which may be adjusted downwards depending on the actual working capital, in accordance with the agreed upon mechanism.
“This Spanish expansion strengthens our geographical footprint and positions us favorably to efficiently service Western Europe and North Africa.
We decided to enter the Spanish market because we have a strong understanding of the dynamics of the European water and gas systems market, and the country’s economy is dynamic and on a positive trend. Furthermore, there are clear similarities to the Romanian market, both being dominated by entrepreneurial competitors. We invest where we can generate profit, not only to expand our presence, but also in line with the responsibility we have towards our shareholders and employees.
We will apply our business model here as well, leveraging group synergies, as we have already done in Hungary, Austria, Croatia and The Republic of Moldova. We view Spain and Portugal with the same strategic interest as France and Germany. In doing so, we are demonstrating that Romanians can come to Western Europe not only to work in agriculture and hospitality, but also to invest, build industrial businesses and generate profits.”, stated Dorel Goia, Chairman of the TeraPlast Board of Directors.
The factory has an annual production capacity of 16,000 tons and a team of 82 employees. In 2025, the factory had a turnover of EUR 29.4 million, having a solid base of clients in Spain, France and Germany. TeraPlast will invest EUR 4 million over the next 3 years to modernize and expand production capacities.
“The fact that we are taking over a fully operational, debt-free industrial asset, equipped with modern European technology, from a world leader, provides the ideal foundation for a fast and efficient integration into the TeraPlast Group while simultaneously strengthening our position in Europe.”, said Dorel Goia.
The seller is Aliaxis, a multinational company present in more than 40 countries, recognized for its solutions in water and energy management. Until the closing of the transaction, the acquired factory is owned by of Aliaxis Iberia.
The Spanish plastic pipes market is the seventh largest in Europe, offering significant growth potential. Through this transaction, TeraPlast consolidates its position as a key regional player and takes an important step towards becoming a European supplier with an extensive footprint.
