Banca Transilvania will grant its shareholders additional dividends amounting to RON 700 million from net profit reserves accumulated in previous years. At the same time, the bank will launch bond issues of up to EUR 2 billion to support future growth plans, according to Market Screeener.
These initiatives, proposed by the Board of Directors, were approved by the shareholders at the General Shareholders’ Meeting held on October 28, 2025.
The bank has already allocated 1.59 billion lei as dividends this year, 45% of its 2024 profit.

In addition, we are pleased to be able to provide liquidity and support to our shareholders in challenging times. Regarding the new bond issues, we believe that they are a very good option for diversifying the capital base in a cost-efficient way, while at the same time offering a strengthening of BT’s presence as an issuer on the international financial markets”, said Horia Ciorcilă, Chairman of the Board of Directors of Banca Transilvania.
Additional dividends
- The distribution implies a gross dividend of 0.6420 lei/share.
- The yield is around 2.3%, based on TLV’s current share price.
- The dividend payment date is December 11, 2025, for shareholders of record on November 25, 2025.
New bond issues
- Corporate bond issues will be issued for a maximum period of 5 years, will have a cumulative amount of up to EUR 2 billion (or equivalent in another currency) and will be denominated in lei, euro or another currency.
- BT has proposed to shareholders to approve bond issuance on a flexible structured basis, through one or more separate bond issues, or as part of a new bond program, or either as a result of the appropriate increase in the maximum amount authorized under the EMTN Program of €1.5 billion from 2023.
- The Bank will take into account market conditions and practices for determining the interest rate, coupon payment frequency, type of instrument or any other structuring elements of the issues.
- BT Capital Partners, the brokerage company of the Banca Transilvania Group, will be one of the intermediaries for each bond issue.
The Banca Transilvania Group recorded a net profit of RON 1.97 billion in the first six months of the year, of which RON 1.78 billion represents Banca Transilvania’s profit. Financial results for the first nine months of 2025 will be announced by BT on November 10.
